Please read these Terms and Conditions ("Terms") carefully before using the website, optimumvelocity.ph (the "Site") or the services offered by Optimum ("we," "us," "our," "Optimum"). By accessing the Site, placing an order, or otherwise using our services, you agree to be bound by these Terms. If you do not agree, please do not use the Site or our services.
About Us
Optimum is a fuel and diesel supply and delivery company operating in [service area/region], Philippines. We source, price, and deliver fuel directly to businesses, using our own trucks and drivers. Optimum is a business name of Optimum Velocity OPC, registered with the Department of Trade and Industry / Securities and Exchange Commission.
Use of the Website
Eligibility
By using this Site, you confirm that you are at least 18 years old and legally able to enter into binding contracts, or that you are authorized to act on behalf of a registered business. If you are placing an order on behalf of a company, you represent that you have the authority to bind that company to these Terms.
Permitted Use
You agree to use the Site only for lawful purposes and in a way that does not infringe the rights of, restrict, or inhibit anyone else's use of the Site. Specifically, you agree not to:
Use the Site in any way that violates applicable Philippine law or regulation
Attempt to gain unauthorized access to any part of the Site, our servers, or any systems or databases connected to the Site
Use any automated system, bot, scraper, or data mining tool to extract data from the Site without our prior written permission
Transmit any virus, malware, or other harmful or disruptive code through the Site
Impersonate another person or business, or misrepresent your affiliation with any person or entity
Submit false, misleading, or fraudulent order information
We reserve the right to suspend or terminate your access to the Site at our discretion if we believe you have violated these Terms.
Account Registration
If the Site allows you to create an account, you are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account, whether or not authorized by you. Please notify us immediately of any unauthorized use of your account or any other breach of security.
Intellectual Property
All content on this Site — including but not limited to text, graphics, logos, icons, images, video, audio clips, and software — is the property of Optimum or its licensors and is protected by Philippine intellectual property law, including the Intellectual Property Code of the Philippines (Republic Act No. 8293). The name "Optimum," our logo, and any associated branding are trademarks of Optimum and may not be used without our prior written consent.
You may view and print pages from the Site for your own personal or internal business use. You may not reproduce, republish, distribute, modify, create derivative works from, publicly display, or otherwise exploit any content from the Site for commercial purposes without our express written permission.
Our Services
Optimum provides fuel and diesel supply and hauling services to businesses, including but not limited to gas stations, construction sites, quarries, transport fleets, and agricultural operations, within our designated service area.
Orders and Price Quotes
After Enrolling, prices we quote, whether on the Site, by message, or through a price advisory, are based on prevailing market rates at the time of issue and are valid only until the stated cutoff time, or until superseded by a new price advisory, whichever comes first. A price quote or advisory is informational and does not, by itself, constitute a binding offer.
Submitting an order does not guarantee that we will accept it. All orders are subject to our review and confirmation. An order is only binding on Optimum once we have formally confirmed it in writing, whether by email, message, or a signed order confirmation. Until confirmed, either party may withdraw from the proposed order without penalty.
Ordered quantities are subject to allocation based on the fuel actually available to us at the time of confirmation. Where full allocation is not possible, we reserve the right to fulfill an order partially and will notify the client promptly, along with any resulting adjustment to price or timing.
Pricing and Payment
Prices are quoted per liter in Philippine Pesos (₱) unless stated otherwise, and remain subject to change without prior notice until an order has been formally confirmed. Once confirmed, the price stated in the order confirmation will be honored, subject to the terms of that confirmation, including its own validity window where applicable.
Payment terms — including whether payment is required upfront, on delivery, or under agreed credit terms — will be specified at the time of order confirmation and may vary by client relationship. Where upfront payment is required, full payment must be received by the stated cutoff time for the order to be honored at the quoted price; orders paid after cutoff may be re-priced according to the next applicable price advisory.
Optimum reserves the right to withhold dispatch or delivery of an order until any required payment has been received and confirmed, and reserves the right to require full or partial upfront payment from new or previously delinquent clients.
Delivery
Delivery dates and time windows we provide are estimates only and are not guaranteed. While we make every reasonable effort to deliver on time, we are not liable for delays caused by circumstances outside our reasonable control, including but not limited to severe weather, road closures or traffic conditions, port or terminal congestion, mechanical breakdown, government-imposed restrictions, or interruptions in our own supply chain ("Force Majeure Events"). Where a Force Majeure Event affects a scheduled delivery, we will make reasonable efforts to notify the client promptly and provide a revised estimate.
The client is responsible for ensuring that the delivery site is safe, legally accessible, and suitable for our delivery vehicles. If a site is inaccessible, unsafe, or requires special equipment or arrangements not previously disclosed to us, we reserve the right to delay delivery, charge an additional fee to cover the added cost, or cancel the order.
The quantity actually delivered will be recorded and confirmed via a delivery receipt or bill of lading signed at the time of delivery, or otherwise electronically confirmed. The client should inspect the delivery and raise any discrepancy in quantity or quality with us within 48 hours of delivery; claims raised after this window may not be honored.
Cancellations and Changes
An order may be cancelled or modified by the client only before we have confirmed and locked the corresponding purchase with our own supplier. Once we have committed to our supplier on the basis of a client's order, cancellation may no longer be possible, or may be subject to a cancellation fee reflecting costs we have already incurred, including any loss resulting from a supplier commitment we cannot unwind.
We reserve the right to cancel, delay, or adjust an order due to supply shortages, allocation limits, pricing errors, or a Force Majeure Event, and will provide the client with reasonable notice and, where applicable, a refund of any amount paid for the undelivered portion.
Client Responsibilities
By placing an order with us, the client agrees to:
Provide accurate and complete full business information, delivery location, and contact details
Promptly inform us of any change to delivery location, contact person, or site access instructions
Ensure the delivery site is safely and legally accessible at the agreed time
Make payment in full accordance with the agreed terms and send to the correct bank account #.
Comply with all applicable laws and safety regulations regarding the storage, handling, and use of the delivered fuel
Designate an authorized representative to receive and sign for deliveries where required
Referral Program
Where we offer a referral program, clients who refer a new business to Optimum may become eligible for a referral reward once the referred business places and completes its first order with us, or under such other conditions as we may specify from time to time. Details such as reward type, value, timing of payout, and any limits on the number of eligible referrals will be communicated separately and may be updated periodically. Optimum reserves the right to modify, pause, or discontinue the referral program at any time without prior notice, without affecting rewards already earned and confirmed prior to the change.
Third-Party Links and Content
The Site may contain links to third-party websites, social media pages, or services that are not owned or controlled by Optimum. We provide these links for convenience only and do not endorse, and are not responsible for, the content, accuracy, policies, or practices of any third-party site. Accessing any linked site is done entirely at your own risk, and we encourage you to review the terms and privacy policy of any third-party site you visit.
Disclaimers
The Site and all content on it are provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, including but not limited to warranties of accuracy, completeness, or fitness for a particular purpose. We do not guarantee that the Site will be available at all times, uninterrupted, secure, or free of errors, and we are not responsible for any loss arising from your inability to access the Site.
Any pricing, availability, delivery estimate, or product information displayed on the Site is provided for general informational purposes and is indicative only. It does not constitute a binding offer and remains subject to confirmation by Optimum as described under "Our Services" above.
Nothing in these Terms limits any right you have as a consumer under the Consumer Act of the Philippines (Republic Act No. 7394) that cannot lawfully be excluded or limited.
Limitation of Liability
To the fullest extent permitted by Philippine law, Optimum, its owners, employees, and agents shall not be liable for any indirect, incidental, special, or consequential damages — including but not limited to lost profits, lost business opportunities, or operational downtime — arising out of or relating to your use of the Site or our services, including delayed delivery, allocation shortfalls, or Force Majeure Events, provided that we have made reasonable efforts to fulfill the relevant order and to notify the client of any issue affecting it.
Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud, or for any other liability that cannot lawfully be excluded under Philippine law. Subject to that, our total liability arising from any single order or transaction shall not exceed the total value paid by the client for that specific order.
Indemnification
You agree to indemnify, defend, and hold harmless Optimum and its owners, employees, contractors, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your misuse of the Site, your violation of these Terms, your violation of any applicable law, or your violation of any right of a third party.
Privacy
Your use of the Site is also governed by our Privacy Policy, which explains what personal information we collect, how we use and protect it, and your rights over that information as a data subject under the Data Privacy Act of 2012 (Republic Act No. 10173) and its Implementing Rules and Regulations, as enforced by the National Privacy Commission. By using the Site, you also consent to the practices described in our Privacy Policy.
Compliance with Philippine Law
Optimum operates in accordance with applicable Philippine laws and regulations governing the sale, transport, and delivery of petroleum products, including the Downstream Oil Industry Deregulation Act of 1998 (Republic Act No. 8479), and is registered with the Department of Energy (DOE) where required.
Governing Law and Dispute Resolution
These Terms are governed by and shall be construed in accordance with the laws of the Republic of the Philippines, without regard to conflict-of-law principles. In the event of any dispute arising out of or relating to these Terms or our services, the parties agree to first attempt to resolve the matter through good-faith negotiation, and may consider mediation or arbitration before pursuing court action. If the dispute cannot be resolved through negotiation within a reasonable time, it shall be submitted to the proper courts of Cebu, Philippines, which shall have exclusive jurisdiction.
Severability
If any provision of these Terms is found by a court or other authority of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be deemed modified to the minimum extent necessary to make it valid and enforceable, or if it cannot be so modified, it shall be severed, and the remaining provisions of these Terms shall continue in full force and effect.
Changes to These Terms
We may revise and update these Terms from time to time at our sole discretion. All changes take effect immediately upon being posted to the Site. Your continued use of the Site or our services after any changes are posted constitutes your acceptance of the revised Terms. We encourage you to review this page periodically so that you are aware of the current version.
Entire Agreement
These Terms, together with any order confirmations issued to you and our Privacy Policy, constitute the entire agreement between you and Optimum regarding your use of the Site and our services, and supersede any prior agreements or understandings, whether written or oral, relating to the same subject matter.
